Loveland Fishing Club Bylaws

ARTICLE 1. LOVELAND FISHING CLUB The name of this organization is “Loveland Fishing Club” (hereinafter the Club). It is a non-profit organization of volunteers.
ARTICLE 2 PURPOSES
The purpose of the Club is to foster interest in fishing. We intend to accomplish this by:
Section 1. Encouraging members to participate in various fishing events;
Section 2. Supplying information about fishing and fishing techniques to members;
Section 3. Instructing and aiding members in the art of angling;
Section 4. Sponsoring competition and other activities to keep members' interest stimulated;
Section 5. Promoting “ethical fishing”;
Section 6. Assisting and encouraging the youth and senior citizens of our community to participate in the enjoyment of angling;
Section 7. Doing volunteer work to improve fish habitat.
To the above listed items we dedicate our efforts, and accept the responsibility and challenge of promoting interest in safe fishing activities.
ARTICLE 3 BOARD OF DIRECTORS
Section 1 - The Board of Directors (hereinafter "Board") shall be vested with authority for control, direction and management of all affairs of the Club. Voting members of the Board shall include the President, Vice President, Secretary, Treasurer, Immediate Past President, Member at Large and Government Affairs Liaison.
Section 2 Vacancies occurring in the Board shall be filled by an appointment made by the President and approved by the Board, such appointees serving until their successors have been duly elected or appointed.
ARTICLE 4 – MEMBERSHIPS
A. Regular Member
Section 1. Membership in this organization shall be available to any person regardless of age, race, creed, religion, gender, or national origin, except that minors under age 18 shall be under the supervision of a legally responsible adult who is a member and will accompany said minor on all club activities which the minor will attend.
Section 2 Members shall have the following privileges:
(a). The right to vote at duly called meetings for the election of Board members and amendments of the Bylaws, and to hold office;
(b). The. right to the full use of club facilities, and equipment during club sponsored events and activities (not private use)
(c). The right to invite guests to club activities in accordance with rules prescribed by the Board.
Section 3 Any member may be asked by the Board to resign from the club or may have their membership terminated by a majority vote of the Board, for acts unbecoming a true sportsperson, or acts which have been or could be injurious to other members and/or the Club.
Section 4 Membership cannot be transferred, and there shall be no transfer of properties, interest, or privileges of the Club from a resigning or terminated member to another person.
B. Honorary Member
A man or woman who makes an outstanding contribution to improve the quality of fishing in the Loveland area and as a result supports the purposes of the Loveland Fishing Club may be considered for Honorary Membership
Section1. Awarding Honorary Membership – Any LFC member may nominate a person to be an Honorary member. The Board must unanimously agree to the nomination.
The board may limit the number of Honorary Members.
Section 2. Duties & Privileges of an Honorary Member. The nominee must agree to the appointment and support the purposes of the club. Honoraries shall enjoy all the privileges of membership without payment of dues. Honoraries must fill out the membership application.
Section 3. Annual Review of Honorary Members roster
The roster of Honorary Members will be reviewed annually at the November Board meeting. Does the person continue to make an outstanding contribution to angling in the Loveland area, or have circumstances changed so that Honorary Member status is no longer appropriate?
The Board must unanimously agree that the honorary member remain on the roster.
ARTICLE 5 FEES and DUES
Section 1 The yearly dues of the Loveland Fishing Club may be set, increased or decreased from time to time at the discretion of the Board.
Section 2 Dues are payable upon approval of an applicant's membership, and thereafter immediately after the start of the club’s fiscal year which is January 1st. New members joining in the first six months of the fiscal year shall pay full dues for that year. New members joining in the last six months of the fiscal year shall pay one-half of the full year’s dues for that year.
Section 3 Dues shall be made payable to the Loveland Fishing Club. Members who are in arrears for 90 days or more on payment of their annual dues, shall have their membership terminated. A terminated member may only be reinstated with payment of a full year's dues.
ARTICLE 6 OFFICERS and DIRECTORS – Elected and appointed
Section 1 The elected officers of the Club shall be: PRESIDENT,
VICE-PRESIDENT, SECRETARY and TREASURER.
Section 2 PRESIDENT the duties of the President are to:
A. preside at all meetings of the general membership and the Board;
B. sign, with the Secretary, the record of proceedings of meetings;
C. sign and execute all contracts, conveyances and obligations of the Club;
D. call special meetings of the Board, as necessary;
E. perform such other duties of the office as the Board may from time to time deem necessary.
F. When an even number of Board members are in meeting attendance, the LFC President will only vote to break a tie.
Section 3 VICE-PRESIDENT the duties of the Vice-President are to:
A. assist the President in the discharge of Presidential duties, act as President at meetings and events when the President is absent, and in the case of an absence from or vacancy in the office of the President, act as the President;
B. act as coordinator of the activities of all appointed officers and chairpersons of the Club, and shall keep informed of matters of the appointed officers in order to keep the Board informed of those activities;
C. be the President-elect;
D. perform all other duties consistent with the office of Vice- President.
Section 4 SECRETARY the duties of the Secretary are to:
A. keep a record of the proceedings at the Board meetings;
B. keep minutes of regular membership meetings;
C. keep and maintain Club records and files;
D. report on correspondence received, and write such correspondence as shall be required by the Board;
E. sign jointly with the President any and all instruments necessary for the business of the Club;
F. perform all other duties consistent with the office of Secretary.
Section 5 TREASURER the duties of the Treasurer are to:
A. receive and collect all funds owed to the Club;
B. render to the Board a list of all members who are delinquent in paying dues;
C notify members of delinquent dues, and collects dues;
D. be custodian of all Club funds and deposits in the Club’s bank accounts; keep records of the Club’s funds and disbursements in proper books provided for that purpose;
E. provide financial reports at each Board meeting, and general membership meeting;
F. pay all bills as approved by the Board; sign all checks and drafts on behalf of the Club; In the absence of the Treasurer, the President shall sign all checks and drafts on behalf of the Club.
G. assist the President with the preparation of the annual budget, for approval of the Board;
H. perform all other duties consistent with the office of Treasurer.
Section 6 – MEMBER AT LARGE – to be elected along with the officers. The duties of the Member at Large are to;
A. Serve as a liaison between the general membership and the Board.
B. Represent the viewpoint of members relating to ideas and suggestions being discussed by the Board.
C. Present and advocate ideas and suggestions that would advance members’ interests.
Section 7 The immediate Past President shall, upon expiration of his/her term of office, be entitled to the permanent designation of Past President, and continue to be a voting member of the Board for one year. In addition, the immediate Past President shall serve as Parliamentarian and will be responsible for maintaining proper order at all meetings of the Club including Board meetings.
Section 8. Government Affairs Liaison – Shall be appointed by the President, and approved by the Board. Duties include:
A. Liaison between Loveland Fishing Club (LFC) and the various government committees that affect the quality of fishing. Emphasis would be on local (City and County) government.
B. Attend meetings and represent LFC interests by speaking to our point of view.
C. Report the progress of any issue to the Board and the general membership.
D Conduct polls to stay current with wishes of the Board and the general membership. E. Generate, fill and deliver petitions that indicate the positions of LFC, to the committees and government officers.
Section 9. Raffle Chair – Shall be appointed by the President and approved by the Board. Duties include:
Procure raffle prizes for monthly drawings.
Keep records of raffle prizes and income, provide receipts and records to the Club’s Treasurer, and have another member verify raffle money received from each raffle.
A vocal report shall be compiled and given to the board and club members every month.
Raffle chairperson should not accept anything other than donated items from club members.
Raffle is not designed to make money but should hopefully be self-sustaining.
Any items donated by a business shall be given a 501 (c3) receipt as well as a “thank you” acknowledgment of donated gift(s) from LFC.
Raffle chair person should solicit another club member(s) for assistance as needed.
F. Work to coordinate and / or move the position of other interested organizations to align with the position(s) of LFC.
G. Negotiate on behalf of LFC as directed by the Board
ARTICLE 7 – GOVERNANCE
Section 1 The entire control, direction and management of all affairs of the Club shall be vested in the Board.
Section 2 The Board will operate the Club on a cash basis from the dues money in the Club treasury. It will incur no debt other than 30-day account debt for which there must be money in the treasury to cover said debt at the time such debt is incurred.
Section 3 Any officer or chairperson, elected or appointed, may be asked to resign their position for acts that are found by the Board to be unbecoming as an officer or chairperson of the Club, or which could prove detrimental to the Club; for lack of participation in Club events; or for unreasonable absences or dereliction of duty. If said officer or chairperson doesn't thereafter immediately resign, they may be removed from office by a unanimous vote of all other members of the Board.
Section 4 A majority of the Board shall constitute a quorum for the conduct of Board business and actions.
Section 5 The Board from time to time may create committees, headed by appointed chairpersons, that the Board may deem necessary to transact and expedite the business and/or activities of the Club. The following is a list of suggested appointed chairpersons:
A ACTIVITIES CHAIRPERSON Each Club Activity shall have a named Chair Person, whose duties include planning and managing all aspects of that activity.
Outline of the activity, what, when, where.
Create and monitor a signup sheet
Recruiting other members to be involved
Keep the board informed of the status of the activity
Give appropriate recognition to all participants.
Examples of a Club Activity include:
Kids Fishing Derby
Senior Fishing Derby
Inter-Club Derby
Boat Day
Fishing trips and other activities
B MEETING CHAIRPERSON the duties of the Meeting Chairperson are to arrange for programs of interest to the membership to be presented at each regular Club meeting and perform all other duties consistent with the office of Meeting Chairperson.
C CONTACT CHAIRPERSON duties shall be to establish and maintain a Club roster containing member telephone numbers, addresses, and email addresses. Distribute important information about Club activities, and provide timely notices to members of upcoming events.
D HISTORIAN- duties shall include keeping official historical records of the Club. These shall include, (but are not limited to): copies of newsletters, photos, news releases, newspaper articles, minutes, and rosters of attendance at the Club functions, in albums provided by the Board for the purpose.
ARTICLE 8 MEETINGS
Section 1 There shall be an annual meeting of the membership, held at a time and place to be fixed by the Board, for the purpose of the nomination, election and installation of new officers, and the announcement of the new Board.
Section 2There shall be such regular meetings as the Board may schedule.
Section 3 Regular meetings of the Board, and any special meetings of the members, shall be held at any time and place as may be fixed by the Board.
ARTICLE 9 ELECTIONS
Section. 1 At least 30 days prior to the general meeting, the nominating committee consisting of the vice president, secretary and treasurer shall present to the Board a slate of candidates for the coming year.
Section 2. The Board shall inform the membership by e-mail or U.S. mail of the date and time of the general meeting and the items to be voted on.
Section 3. At the general meeting candidates on the slate and candidates nominated from the floor shall be voted for. A candidate must receive a majority of votes from the members present at that meeting to be elected.
ARTICLE 10 AMENDMENTS TO BYLAWS
Article 10 Amendments to Bylaws
Section 1. Proposals to amend bylaws may be made at any time by a majority vote of the board. Such proposals shall become valid after being voted on and passed by a majority of the members present at the next annual meeting, or a special meetinig convened for that purpose
Notice of the proposed amendments to the bylaws and the time and place of the meetiing shall be announced to the membership, as prescribed, at least 30 days prior to the meeting.
Section 2. The proposed amendments must be passed by a majority of the members present at that meeting to become valid.
